Part A General
Section 1 Scope of delivery conditions, place of fulfilment
The conditions set out below apply to all agreements, deliveries and other services. They apply to all groups of customers and target groups of CRM in Parts A and B. Parts A, B and C apply to business owners and freelance customers in normal business transactions. The place of fulfilment is Salzburg.
Section 2 International scope of validity; Austrian law
For all disputes and differences of opinion arising from the use of these conditions of delivery, even in cases of foreign involvement, the application of Austrian law is agreed. The regulations of the CISG - the principles of the United Nations on sales law - are not recognised.
Section 3 Data privacy
The data required for processing orders is stored. All personal data will be of course treated as confidential.
Section 4 Modalities of payment
All payments must be made solely to us. For order values of EUR 100.00 and below, we will charge a processing fee of EUR 5.00. Deliveries are made against advance payment if the buyer consents to this.
Section 5 Verbal separate agreements and supplementary agreements
Verbal separate agreements and supplementary agreements only apply if they have been accepted and confirmed specifically in writing.
Part B Delivery conditions for consumers and private customers
Section 6 Obligations regarding offers, delivery times
Our offers are non-binding. We reserve the right to make article changes in the product portfolio, colour and design provided these are within conventional tolerance limits, quantities and deviations. We also reserve the right to make improvements that reflect the state of technology or medical necessity. We normally deliver within around 8 days, provided and insofar as we have been supplied on time and correctly by our supplier companies. We cannot be held liable for delays to deliveries and services caused as a result of force majeure and events that make delivery extremely difficult or impossible.
Section 7 Simple retention of title
Goods remain our property until full and final payment is received.
Section 8 Warranty for defects
You should be completely satisfied with the products we supply. If any defect occurs, we will provide a warranty service within the legal framework.
Section 9 Private use of products protected by copyright
Our products and their accessories are protected by copyright and intended solely for private use. The buyer is not permitted to create any reproduction, in whole or in part. For software products, the relevant licensing conditions also apply. Any use or exploitation outside copyright shall incur liability for damages and prosecution.
Part C Special regulations for company owners, freelance buyers and business partners of CRM
Section 10 Protective clause
Only those conditions of business of the buyer that differ from our own conditions of deliver shall apply that we expressly accept in writing. We hereby expressly reject any variant general conditions of business of the buyer. Other conditions will not become part of the agreement even if we do not reject them expressly.
Section 11 Extended retention of title
Goods remain our property until full and final payment is received. The seller may sell on the supplied goods in the regular course of business subject to reservation of title, with the proviso that he shall, by way of security, surrender any immediate or subsequent claims arising therefrom to us until payment of our invoice. At the buyer's request, we shall release securities provided the value of the securities exceeds the value of our claims by more than 20 %. The authorisation to resell only exists provided the buyer expressly accepts our conditions of delivery or does so through a commercial letter of confirmation.
Section 12 Transfer of risk for sales shipments
If the buyer is a company owner, a freelance buyer or a business partner of CRM and he acquires our products in the context of his professional activity, all deliveries will be made to the charge, at the cost of and at the risk of the buyer.
Section 13 Prices subject to confirmation
Our prices remain subject to confirmation in the context of conventional price adjustments and cost increases.
Section 14 Copyright
CD productions, as well as teaching, advertising and illustrative material is protected by copyright. The buyer is not permitted to create any reproduction, in whole or in part. Also prohibited is any reproduction, either in whole or in part, for the purposes of simultaneous multiple use. For software products, the relevant licensing conditions also apply. Any use or exploitation outside copyright shall incur liability for damages and prosecution.
Section 15 Place of jurisdiction
For all disputes and differences of opinion arising from the use of these conditions of delivery, even in cases of foreign involvement, the place of jurisdiction is the Salzburg District Court or Salzburg State Court.
